Terms of Service

By accessing or using Fylix (the "Service"), operated by Skyie Global Technologies Ltd ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations.

If you do not agree with any part of these Terms, you may not access or use the Service. These Terms apply to all users, including freelancers, self-employed individuals, landlords, accountants, and accounting firms.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use after changes are posted constitutes acceptance of the modified Terms.

2.1 Eligibility

To use Fylix, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Be a resident of the United Kingdom or have UK tax obligations
• Provide accurate, complete, and current registration information

2.2 Permitted Use

Fylix is designed to help you manage self-assessment tax returns, track income and expenses, and submit filings to HMRC. You agree to use the Service only for lawful purposes and in accordance with these Terms.

2.3 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Submit false, misleading, or fraudulent information to HMRC
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, redistribute, or sublicense the Service to third parties

3.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:

• Choose a strong, unique password
• Not share your account credentials with anyone
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

3.2 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of all data you input into Fylix. While we provide tools to assist with tax calculations, you are ultimately responsible for ensuring the information submitted to HMRC is correct.

We recommend consulting a qualified tax advisor or accountant for complex tax situations. Fylix does not provide tax advice or guarantee the accuracy of calculations.

3.3 Account Termination

You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Upon termination:

• Your access to the Service will be revoked
• Your data will be retained according to our Privacy Policy and legal obligations
• No refunds will be provided for unused subscription periods (unless required by law)

4.1 Pricing Plans

Fylix offers multiple subscription tiers:

• Starter Plan: Free tier with limited features (1 tax return per year)
• Professional Plan: £49/month (or £39/month billed annually) with unlimited returns and advanced features
• Firm Plan: £149/month (or £119/month billed annually) for accounting firms with multi-client management

4.2 Payment Terms

• All payments are processed securely via our payment provider (Stripe)
• Subscriptions automatically renew at the end of each billing period unless cancelled
• You authorize us to charge your payment method for recurring fees
• Failed payments may result in service suspension after a grace period

4.3 Refund Policy

We offer a 14-day money-back guarantee for new subscribers. After 14 days, refunds are provided only in exceptional circumstances at our discretion. Refunds do not apply to:

• Unused portions of annual subscriptions
• Free trial periods (no charge, no refund)
• Accounts terminated for Terms violations

4.4 Taxes & VAT

All prices are exclusive of VAT and other applicable taxes unless otherwise stated. VAT will be added to invoices for UK customers where required.

5.1 Our Intellectual Property

The Service, including all content, features, functionality, software, code, designs, logos, and trademarks, is owned by Skyie Global Technologies Ltd and protected by UK and international intellectual property laws.

"Fylix" and related logos are trademarks of Skyie Global Technologies Ltd. You may not use our trademarks without prior written permission.

5.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business tax filing purposes.

5.3 Your Content

You retain all rights to the data and content you submit to Fylix (income records, expenses, documents, etc.). By using the Service, you grant us a license to process, store, and display your content solely for the purpose of providing the Service.

We will not share your content with third parties except as necessary to provide the Service (e.g., submitting returns to HMRC) or as required by law.

6.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

6.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice, if you:

• Violate these Terms or applicable laws
• Engage in fraudulent or abusive behavior
• Fail to pay fees after multiple reminders
• Pose a security risk to the Service or other users

6.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may download your data within 30 days of termination, after which we may delete your account in accordance with our data retention policies (subject to legal obligations).

7.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, secure, or error-free
• Tax calculations will be accurate in all circumstances
• The Service will meet your specific requirements
• All defects will be corrected immediately

7.2 Not Tax Advice

Fylix is a software tool, not a substitute for professional tax advice. We are not accountants, tax advisors, or legal professionals. You should consult qualified professionals for complex tax matters or legal questions.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYIE GLOBAL TECHNOLOGIES LTD SHALL NOT BE LIABLE FOR:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• HMRC penalties or interest resulting from errors in your tax returns
• Service interruptions, data loss, or security breaches beyond our control

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

7.4 Indemnification

You agree to indemnify and hold harmless Skyie Global Technologies Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

8.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

8.2 Dispute Resolution

Before initiating legal proceedings, we encourage you to contact us to resolve disputes informally. Most concerns can be resolved quickly through our support team.

If informal resolution fails, you may pursue claims through small claims court or other appropriate legal channels.

9.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Skyie Global Technologies Ltd regarding the Service.

9.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

9.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

9.4 Assignment

You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
